To relocate the main office of a Missouri state-chartered bank to an existing branch and maintain the current main office as a branch, please complete the Application to Redesignate the Existing Branch as the Main Office and Main Office as a Branch.
If a location is to be discontinued as part of this application, please also complete the Uniform Interstate Application/Notice.
In addition to the application itself, you must provide this office with a copy of the board resolution which directs and authorizes the officers who sign the application to act on behalf of the bank.
To relocate the main banking house, the Articles of Agreement must be amended, which can be done by completing the Statement of Proceedings of Stockholders' Meeting. To comply with Section 362.044, Revised Missouri Statutes, the following must also be submitted with the application:
- A certified copy of the written notice mailed to all shareholders of record stating the time, date and place of the meeting, and the items of business to be voted upon.
- A copy of the publication notice certified by the publisher as being a true copy.
- In the event a 100 percent Waiver of Notice is obtained from your shareholders, submit a certified statement to this effect. The written notice and published notice are not required.
- You are cautioned to see that all certifications are properly notarized and bear the notary seal, as well as the bank's seal, where applicable.
Applicants may provide any information in addition to that requested in this application, which in their opinion might aid in the disposition of the request. Additional information may be required of the applicant after review of the application. All information submitted by the applicant will be treated confidentially by the Missouri Division of Finance.
Forward the completed application to the Missouri Division of Finance at finance@dof.mo.gov. A complete copy should be sent to the Federal Deposit Insurance Corporation or the appropriate Federal Reserve Bank. Complete responses to all applicable questions will expedite processing. If the main office is being relocated to a branch in the same community, there is no filing fee. If the main office is being relocated to a branch in a different community, a filing fee of $700.00 must be paid by a mailed check or online by a credit card/eCheck.
